Consequently, the Units have not been registered under the Act or the State Laws. The Units are subject to restrictions on transfers pursuant to the terms and conditions contained within the Operating Agreement of the Company.

Further, the Company has no current plans to register the Units. The Company plans to deploy the raised capital into
purchasing thoroughbred racehorses.
